Empowered Coffee Solutions
These Terms & Conditions govern the provision of services by Empowered Coffee Solutions, the trading name of The Dancing Bean Espresso Bar Pty Ltd (ABN 42 087 870 844), located at:
Sadliers Crossing QLD 4305, Australia.
By engaging the services of Empowered Coffee Solutions, you agree to the following terms.
1. Services
Empowered Coffee Solutions provides education, training, and consulting services relating to coffee industry skills, including but not limited to:
- Coffee roasting
- Coffee machine maintenance
- Café and coffee enterprise operations
- Hospitality skill development
- Emotional intelligence and personal development training
Additional services may be agreed upon between Empowered Coffee Solutions and the client from time to time.
2. Agreement Term
These Terms & Conditions apply from the date services are agreed upon and remain in effect until the services are completed or the agreement is terminated.
Either party may terminate the service arrangement by providing written notice.
Where a material breach of these terms occurs, the non-breaching party may terminate the agreement immediately and seek reasonable damages where applicable. Service Agreement
3. Payment Terms
Unless otherwise agreed in writing:
- Services are charged at a rate of $1,000 AUD per week. Service Agreement
- A deposit of $5,000 AUD may be required prior to commencement of services. Service Agreement
- Remaining amounts will be invoiced periodically.
- Invoices must be paid within 7 days of receipt. Service Agreement
- All prices are in Australian Dollars (AUD).
Any applicable GST or other legally required taxes will be added where required.
Late payments may incur interest of 5% per annum or the maximum rate permitted by law, whichever is lower. Service Agreement
4. Expenses
Where services require travel, equipment transport, or other reasonable operational expenses, Empowered Coffee Solutions may seek reimbursement for these costs.
All reimbursable expenses will be discussed and approved with the client prior to being incurred.
5. Confidentiality
Both parties agree to maintain the confidentiality of any proprietary or sensitive information disclosed during the provision of services.
Confidential information may include but is not limited to:
- business processes
- financial records
- operational procedures
- training materials
- client data
Such information must not be disclosed or used for any purpose other than the agreed services unless required by law.
These confidentiality obligations survive termination of the agreement. Service Agreement
6. Intellectual Property
All intellectual property created, developed, or provided by Empowered Coffee Solutions remains the property of The Dancing Bean Espresso Bar Pty Ltd.
Clients are granted a non-exclusive licence to use the materials solely for the purposes agreed within the services provided.
This includes (but is not limited to):
- training materials
- course content
- operational frameworks
- program methodologies
- written guides
- video or educational content
Ownership of this intellectual property remains with Empowered Coffee Solutions at all times. Service Agreement
7. Equipment and Materials
Unless otherwise agreed, Empowered Coffee Solutions will provide the tools, equipment, and materials necessary to deliver the agreed services.
Where a program requires goods or services to operate successfully, those goods and services must be purchased through Empowered Coffee Solutions, unless otherwise approved. Service Agreement
8. Independent Contractor Relationship
Empowered Coffee Solutions operates as an independent contractor.
Nothing in these Terms & Conditions creates:
- an employment relationship
- a partnership
- a joint venture
Each party remains responsible for its own business operations and obligations. Service Agreement
9. Subcontractors
Empowered Coffee Solutions may engage qualified subcontractors to assist in delivering services where necessary.
Any subcontractors engaged will operate under the direction and responsibility of Empowered Coffee Solutions. Service Agreement
10. Non-Exclusivity
These Terms & Conditions do not create an exclusive relationship.
Both Empowered Coffee Solutions and the client are free to engage with other businesses for similar services.
11. Liability and Indemnification
Each party agrees to indemnify and hold the other harmless against claims, damages, losses, or expenses resulting from their own actions or omissions in connection with the services provided.
This includes reasonable legal costs where applicable.

12. Notices
Any formal notice under these Terms & Conditions must be provided in writing to the relevant party.

13. Amendments
These Terms & Conditions may only be amended by written agreement between the parties.
14. Governing Law
These Terms & Conditions are governed by the laws of Queensland, Australia. Service Agreement
15. Severability
If any part of these Terms & Conditions is determined to be invalid or unenforceable, the remaining provisions will continue to apply.
16. Entire Agreement
These Terms & Conditions constitute the entire agreement relating to the services provided by Empowered Coffee Solutions unless otherwise agreed in writing.
17. Program Delivery Disclaimer
Empowered Coffee Solutions provides training programs designed to teach practical coffee industry skills, equipment care, and operational responsibility within a structured learning environment.
While Empowered Coffee Solutions endeavours to deliver high-quality training and guidance, outcomes for individual participants may vary depending on factors including:
- participant engagement
- participant skill level
- supervision provided by the client organisation
- operational conditions within the client’s facility
- adherence to training procedures and safety practices
Empowered Coffee Solutions does not guarantee specific employment, business, financial, or academic outcomes resulting from participation in its programs.
18. Student Safety and Supervision Responsibility
Where services are delivered within schools, training organisations, or youth programs, the client organisation retains full responsibility for the supervision, welfare, and behaviour management of students or participants at all times.
Empowered Coffee Solutions provides instruction and training in the use of coffee equipment and operational procedures. However:
- the client organisation must ensure appropriate staff supervision of participants
- the client organisation must ensure compliance with its own duty of care obligations
- the client organisation is responsible for implementing and enforcing safety policies within its facility
Participants must only operate equipment under appropriate supervision and in accordance with the training provided.
19. Equipment Use and Maintenance
Where coffee equipment, roasting equipment, or related machinery is supplied, installed, or used as part of the program, the client organisation agrees to:
- operate equipment in accordance with training and safety instructions
- ensure only authorised persons use the equipment
- maintain equipment in accordance with manufacturer recommendations and training guidance
- report faults or operational issues promptly
Empowered Coffee Solutions is not responsible for damage or injury resulting from misuse, improper operation, or failure to follow training and safety guidance.
20. Limitation of Liability
To the maximum extent permitted by law, Empowered Coffee Solutions and The Dancing Bean Espresso Bar Pty Ltd shall not be liable for any indirect, incidental, consequential, or special damages arising from the use of services, training programs, or equipment associated with the program.
This includes, but is not limited to:
- business interruption
- loss of revenue
- operational disruptions
- participant performance outcomes
Nothing in these Terms & Conditions excludes liability that cannot legally be excluded under Australian law.
21. Program Materials and Educational Content
All educational materials, training resources, documentation, videos, course content, and operational frameworks provided by Empowered Coffee Solutions are supplied for the exclusive use of the client organisation participating in the program.
Clients must not reproduce, distribute, sell, or share these materials outside their organisation without prior written permission from Empowered Coffee Solutions.
These materials form part of the intellectual property of The Dancing Bean Espresso Bar Pty Ltd and remain the property of Empowered Coffee Solutions at all times.
22. Program Integrity
Empowered Coffee Solutions reserves the right to suspend, modify, or withdraw services where the integrity, safety, or educational intent of the program is compromised.
This may include situations where:
- training procedures or safety instructions are not followed
- equipment is used in a manner inconsistent with the training provided
- the program is implemented in a way that undermines its intended educational outcomes
- reasonable cooperation between the client organisation and Empowered Coffee Solutions cannot be maintained
Where possible, Empowered Coffee Solutions will work with the client organisation to resolve any issues prior to suspending or withdrawing services. However, Empowered Coffee Solutions retains the right to cease services if concerns regarding safety, program integrity, or operational standards cannot be satisfactorily addressed.
